Terms and Conditions of Service
1. Acceptance of the Terms
1.1 By using the services of Oficina del Contratista (hereinafter, “the Company”), you (hereinafter, “the User”) agree to comply with these Terms and Conditions.
1.2 If you do not agree, you must refrain from using our services or browsing the site.
2. Description of the Services
2.1 The User authorizes the Company to perform services that include the preparation, filing, and management of administrative or business documents.
2.2 The User authorizes the collection of government fees and service fees.
2.3 The Company acts on the basis of the information provided by the User, who warrants its accuracy.
3. No Legal, Tax, or Financial Advice
3.1 The Company is not a law firm or a CPA firm.
3.2 The services are informational and administrative only.
3.3 The User is advised to consult an attorney and/or tax professional before making important decisions.
3.4 Every final decision is the sole responsibility of the User.
4. Disclaimer of Liability, Indemnification, and Full Assumption of Legal Expenses
4.1 The User agrees that the Company, its owners, directors, employees, and agents shall not be liable for damages, losses, or expenses arising from the use of the services.
4.2 The User shall indemnify and hold the Company harmless from any claim arising from the use of the service or from a breach of these terms.
4.3 In any dispute, mediation, arbitration, or judicial proceeding related to these terms or the services, the User shall bear absolutely the full payment of:
a) The User’s own legal fees
b) The Company’s legal fees
c) Third-party legal fees
d) Court costs, expert fees, mediation, arbitration, and investigation costs
4.4 Under no circumstances shall the Company pay or reimburse legal fees of its own, of the User, or of third parties, regardless of the outcome of the case.
5. Express and Irrevocable Waiver of Reimbursement
5.1 The User expressly and irrevocably waives the right to request reimbursement of legal expenses from the Company, even if the User obtains a favorable ruling.
5.2 This waiver applies under any legal or contractual theory.
6. Governing Law and Jurisdiction
6.1 This agreement is governed by the laws of the State of California, United States.
6.2 Any dispute shall be resolved exclusively in the state or federal courts of Riverside County, California.
6.3 The User accepts such jurisdiction.
